Terms and Conditions

By engaging Victor Squad for any service, visiting our website, or executing a service agreement with us, you agree to be bound by these Terms and Conditions. Please read them carefully.

1. Agreement

These Terms and Conditions ("Terms") govern the relationship between Victor Squad Private Limited ("Victor Squad," "we," "us," or "our"), with its registered office at 301, Business Bay, Road No. 11, Chakala Industrial Area, MIDC, Andheri East, Mumbai - 400093, Maharashtra, India, and any individual, company, or organisation ("Client" or "you") that engages our services, visits our website at www.victorsquad.in, or enters into a service agreement with us.

These Terms apply alongside any specific service agreement, proposal, or work order executed between Victor Squad and the Client. In the event of a conflict between these Terms and a signed service agreement, the terms of the signed service agreement shall prevail. By using our website, requesting a quotation, or signing a service agreement, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not proceed.

2. Our Services

Victor Squad provides professional physical security services to corporate clients, institutions, and individuals. Our services may include:

  • Manned guarding and on-site security personnel deployment
  • Event security management and crowd control
  • Executive protection and personal security detail
  • Access control management and visitor management systems
  • Security assessment, site surveys, and risk evaluation
  • Security training and induction programmes for client personnel
  • Mobile patrolling and response services
  • Any other security services as mutually agreed in writing

The scope, duration, location, and staffing of services will be as specified in the applicable service agreement or work order. Victor Squad reserves the right to determine the deployment methodology, personnel assignment, and operational approach required to deliver the agreed scope, in accordance with our professional standards and PSARA obligations. We want to inform you that all Victor Squad security personnel are trained, verified, and deployed in compliance with the Private Security Agencies (Regulation) Act, 2005 (PSARA) and applicable state regulations.

3. Client Obligations

To enable Victor Squad to deliver services effectively, the Client agrees to:

  • Provide accurate, complete, and timely information regarding the site, operational environment, and any known threats or risks
  • Grant Victor Squad personnel safe, unobstructed access to the designated site(s) for the duration of the engagement
  • Notify Victor Squad of any changes to the site, scope, schedule, or risk profile without undue delay
  • Ensure that Victor Squad personnel are not directed to perform tasks outside the agreed scope of the service agreement
  • Treat all deployed Victor Squad personnel with dignity and respect, and promptly report any misconduct concerns to Victor Squad management
  • Comply with all applicable laws and regulations at the site and not require Victor Squad personnel to act in violation of any law
  • Maintain valid and adequate insurance cover for the site and assets under protection

Victor Squad shall not be held liable for any failure or delay in service delivery arising from the Client's failure to meet the above obligations.

4. Fees, Payment, and Invoicing

The fees for Victor Squad's services will be as agreed in the service proposal or agreement. All fees are exclusive of applicable taxes, including Goods and Services Tax (GST), which will be charged separately as required by law.

Unless otherwise specified in the service agreement:

  • Invoices will be raised monthly in advance or as agreed in writing
  • Payment is due within thirty (30) days of the invoice date
  • Delayed payment will attract interest at a rate of 2% per month on the outstanding amount
  • Victor Squad reserves the right to suspend or withdraw services in the event of non-payment after due notice

Any change in the scope of services, additional deployment, overtime, or emergency response requirements may result in additional charges, which will be communicated to the Client in advance wherever possible and confirmed in writing. Victor Squad reserves the right to revise its service fees upon thirty (30) days' written notice to the Client. Continued use of services after the notice period constitutes acceptance of the revised fees.

5. Service Standards and Limitations

Victor Squad is committed to delivering professional security services to the highest practicable standard. Our personnel operate in accordance with our internal code of conduct, PSARA guidelines, and the operational briefings agreed with each Client. However, we want to inform you that the nature of physical security involves inherent limitations. Victor Squad does not represent or warrant that its services will prevent all loss, damage, theft, injury, or security incidents. Security services reduce risk - they do not eliminate it.

Victor Squad shall not be liable for:

  • Losses arising from events outside the agreed scope of the engagement
  • Incidents occurring in areas, times, or conditions not covered under the service agreement
  • Acts of God, civil unrest, riots, terrorism, or other force majeure events beyond our reasonable control
  • Losses arising from the Client's failure to fulfil its obligations under Section 3 of these Terms
  • Consequential, indirect, or punitive damages of any kind

Where liability is established, Victor Squad's aggregate liability to the Client under any service agreement shall not exceed the total fees paid by the Client for the three (3) months immediately preceding the incident giving rise to the claim.

6. Confidentiality

Both parties acknowledge that in the course of the engagement, each may have access to confidential information belonging to the other. This may include operational details, site layouts, personnel schedules, security protocols, business information, and client identities. Victor Squad treats all client information with strict confidentiality and will not disclose it to any third party except:

  • Where required by a lawful order, court direction, or regulatory obligation
  • To verified subcontractors or deployment partners, on a need-to-know basis and subject to confidentiality obligations
  • With the prior written consent of the Client

The Client agrees not to disclose Victor Squad's proprietary methodologies, training materials, operational protocols, or pricing to any third party without our prior written consent. Confidentiality obligations under this section shall survive the termination of the service agreement for a period of three (3) years.

7. Intellectual Property

All content on our website, including text, graphics, logos, training materials, security assessments, and reports prepared by Victor Squad, is the intellectual property of Victor Squad Private Limited unless otherwise stated. You may not copy, reproduce, distribute, or use any of our content for commercial purposes without our prior written consent. Reports and assessments prepared specifically for a Client remain the property of Victor Squad until full payment has been received, upon which a non-exclusive licence to use such materials is granted to the Client for internal purposes only.

8. Termination

Either party may terminate a service agreement by providing thirty (30) days' written notice to the other party, unless a different notice period is specified in the service agreement. Victor Squad may terminate a service agreement immediately, without notice, if:

  • The Client fails to make payment and does not remedy the default within ten (10) days of notice
  • The Client requires Victor Squad personnel to act unlawfully or in violation of PSARA regulations
  • The Client's conduct creates a risk to the safety of Victor Squad personnel
  • The Client breaches any material obligation under these Terms or the service agreement and fails to remedy it within fifteen (15) days of notice

Upon termination, the Client shall pay all outstanding amounts for services rendered up to the effective date of termination. No refund shall be made for advance payments covering the notice period unless Victor Squad agrees otherwise in writing.

9. Website Use

Victor Squad operates the website www.victorsquad.in to provide information about our services and to facilitate client inquiries. By visiting our website, you agree to use it only for lawful purposes and in a manner that does not infringe the rights of others. You agree not to:

  • Use the website in any way that is unlawful, harmful, or fraudulent
  • Attempt to gain unauthorized access to any part of the website or its related systems
  • Transmit any unsolicited or unauthorized communications, including spam
  • Use automated tools to extract, scrape, or harvest data from the website without our written consent

Our website may contain links to third-party websites that are not operated by us. We have no control over, and assume no responsibility for, the content, accuracy, or practices of those sites. We strongly advise you to review the terms and privacy policy of any third-party website you visit.

10. Governing Law and Dispute Resolution

These Terms and all service agreements between Victor Squad and its Clients are governed by and construed in accordance with the laws of India, including but not limited to the Indian Contract Act, 1872, the Information Technology Act, 2000, and the Private Security Agencies (Regulation) Act, 2005. In the event of any dispute arising out of or in connection with these Terms or any service agreement, the parties agree to first attempt to resolve the matter amicably through good-faith discussions within thirty (30) days of one party notifying the other of the dispute. If the dispute cannot be resolved amicably, it shall be submitted to arbitration in accordance with the Arbitration and Conciliation Act, 1996 (India), with the seat of arbitration in Mumbai, Maharashtra. The language of arbitration shall be English. For all other matters, the courts of competent jurisdiction in Mumbai, Maharashtra, India shall have exclusive jurisdiction.

11. Force Majeure

Victor Squad shall not be held liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, epidemics, civil unrest, strikes, government orders, disruptions to infrastructure, or any other event that materially prevents us from delivering the contracted services. In such circumstances, Victor Squad will notify the Client as soon as reasonably practicable and will make every effort to resume services at the earliest opportunity. If the force majeure event continues for more than thirty (30) days, either party may terminate the affected service agreement without penalty by giving written notice.

12. Amendments to These Terms

We may update these Terms from time to time. We advise you to review this document periodically. When material changes are made, we will update the Effective Date above and post a notice on our website at www.victorsquad.in. These changes are effective from the date posted. Your continued engagement with Victor Squad or continued use of our website after such notice constitutes your acceptance of the revised Terms. Specific service agreements in force at the time of any amendment will remain governed by the Terms in effect at the time of signing, unless both parties agree in writing to adopt the revised Terms.

13. General

These Terms, together with the applicable service agreement and our Privacy Policy, constitute the entire agreement between Victor Squad and the Client with respect to the subject matter herein, and supersede all prior discussions, representations, and understandings.

  • If any provision of these Terms is found to be invalid or unenforceable by a competent authority, the remaining provisions shall continue in full force and effect
  • No failure or delay by Victor Squad in exercising any right under these Terms shall constitute a waiver of that right
  • Victor Squad may assign its rights and obligations under these Terms to a successor entity in the event of a merger, acquisition, or business restructuring, provided that equivalent obligations to the Client are maintained
